Clarification of facts.

Everyone knew that the Board discussion was going to take place and had to take place at some point before the end of May. Rod had sent an email on 5/12 requesting that the board hold off on making any decision (including removal) until 5/26. An unofficial conference call of the other board members was scheduled for 5/20 to discuss Rod's situation without Rod being present, but NOT to vote on what to do.

Rod sent out an email to the Board members on 5/18 (2 days before the planned call) asking for our availability to attend a board meeting/call to actually vote on various questions such as removal. I responded to him that same day to let him know that we had already scheduled the 5/20 call to discuss, but NOT vote on these issues - that as per his request we had been planning to wait until after 5/26 to formally deal with those questions. Rod responded later on 5/18 stating his opinion that while he should not have attended the call that he should have been informed. (As it was not an official Board meeting with no votes planned, I would personally categorize notice as a courtesy, but not a requirement.) In addition, Rod also stated that since there was nothing likely to change between 5/20 and 5/26 that there was no good reason to delay and that votes on these issues could be done at the scheduled 5/20 call. The 5/20 meeting was conducted using Rod's proposed list of specific items to be decided. Rod's exact words: As a sitting board member, I motion that the 4 questions I posed below be voted on during the upcoming board meeting. (... 4. Should I no longer be a board member (not a leave)? 7 votes required. )

I have all of these emails. These are the facts.

I don't think anyone is arguing that procedural irregularities never took place. When that claim was raised, it was addressed in a timely manner by obtaining Rod's resignation. But it seems a bit hypocritical to me for Rod to ask the board to go off and vote on his removal at this meeting and then blast that same board for doing so after the fact.
