What you are trying to do can't be done. The underline is part of the formatting of the text in a cell (as is color, point size, etc.). It is not part of the value of the cell. References in formulas only obtain the values from other cells.
You can set the formatting on a cell to a particular format if a condition is true (Format->Conditional Formatting). You can copy the formatting of one cell and paste it into another cell, but you cannot tell Excel to always format one cell the same as another cell (so that if you change the formatting of one cell, the formatting also changes in the other cell).
