I recently upgraded my system and went with the Intel 8400. It overclocks easily to 3.6 but if overclock is your thing I would invest in a better heatsink/fan. I would also recommend at least 4 GB of RAM as RAM prices are great right now and next generation operating systems will/do require more RAM than XP which is on its way out -- MS is quitting selling XP on June 30.
64-bit or 32-bit OS? 32 bit will only address a little over 3 GB of memory. 64-bit can address up to 8 gb of memory. I got Vista home premium 64-bit, OEM edition for about $109 and I haven't had any problems with it. I'm dual booting XP.

The problem with quad core is there aren't alot of apps that can take advantage of 4 cores. My research was mostly from articles on anandtech.com IIRC.
Good luck - there's lots to consider and alot of research to building a new PC. I can't find alot of the articles that influenced my decisions but I'm sure you can if you dig.
