First of all, it is up to the BOD to really define what the BOG is. But...

BOD are the voting directors that are responsible for making key organizational decisions (creation of by-laws, goals and objectives, priorities, creation of committees, partnerships, use of funds, legal, accounting, etc.) and are elected by the membership (excluding the initial interim board).

BOG are appointed by BOD. It recognizes a set of individuals who are (or who are expected to be) "key contributors" to achieving the goals and objectives of the organization. The BOG can make recommendations to the BOD. The BOD has the responsibility to make the final decisions.
