Well stated Rod.

As I interpret the current by-laws, the membership elects members of the board only when their prescribed terms of office are expiring. The first 3-year term expiration will be in 2013. Vacancies - what we have now - are filled by the Executive Director with Board approval, and serve for the remainder of the term of the previously vacant seat.
